DIRECTORY SUBSCRIPTION TERMS

These Directory Subscription Terms (“Subscription Terms”) govern access to and use of the subscription-based directory services offered through The India Portfolio website (the “Directory”).
The Directory is operated by Corpdevdoge (OPC) Private Limited, a company incorporated under the laws of India (“Company”, “we”, “us”, or “our”), operating under the brand The India Portfolio.
These Subscription Terms supplement and form part of the Terms of Use governing the website. By purchasing, accessing, or using a subscription to the Directory, you agree to be bound by these Subscription Terms.
INTRODUCTION
The Directory provides subscribers with access to information, profiles, research, classifications, portfolio relationships, market intelligence, and related content concerning venture capital funds, private equity funds, portfolio companies, and other business entities.
Access to the Directory is provided on a subscription basis and is subject to these Subscription Terms.
ELIGIBILITY AND ACCOUNT REQUIREMENTS
You must be legally capable of entering into binding agreements under applicable law.
Access to the Directory requires a registered account. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring through your account.
Subscriptions are associated with the registered work email address used to create the account.
3. DIRECTORY SUBSCRIPTION SERVICES
3.1 Directory Access
Subscribers may access fund profiles, company profiles, search tools, filters, research content, and other features made available under their subscription plan.
3.2 Available Features
Features may vary depending on the subscription plan selected and may include profile viewing, search functionality, profile downloads, saved activity history, and other tools made available by the Company.
3.3 Activity History
The Company may maintain a record of profile views, searches, and related activity for display within a subscriber’s account. Such activity history is provided for convenience of the subscriber and also used to enforce usage limits linked to subscription plans.
3.4 Changes to Features
The Company may add, remove, modify, suspend, or discontinue features, functionality, content, classifications, datasets, or services at its discretion.
4. SUBSCRIPTIONS, TRIALS AND USAGE LIMITS
4.1 Subscription Plans
The Company may offer trial, promotional and paid subscription plans with varying levels of access and functionality.
4.2 Trial Access
Trial subscriptions may be subject to limitations including duration, search limits, profile view limits, download restrictions, or other usage restrictions determined by the Company.
Unused trial access does not carry forward and may expire automatically at the end of the applicable trial period.
4.3 Subscription Term
Paid subscriptions remain active for the subscription period purchased by the subscriber.
4.4 Manual Renewals
Subscriptions do not automatically renew unless expressly stated otherwise.
The Company may send renewal reminders; however, subscribers are solely responsible for renewing their subscriptions before expiration.
4.5 Usage Limits
Subscription plans may include limits on searches, profile views, downloads, or other activities.
The Company may enforce such limits through technical or administrative controls.
4.6 Suspension Upon Expiry
Upon expiration of a subscription, access to subscription-only content and functionality may be restricted until renewal is completed.
5. FEES, BILLING, TAXES AND REFUNDS
5.1 Subscription Fees
Subscribers shall pay the applicable subscription fees displayed at the time of purchase.
5.2 GST and Applicable Taxes
Subscription fees may be subject to Goods and Services Tax (GST) and other applicable taxes, duties, or governmental charges.
Where required, valid tax invoices shall be issued in accordance with applicable law.
5.3 International Subscribers
The Directory is operated from India.
International subscribers are responsible for complying with applicable laws, tax obligations, withholding obligations, and regulatory requirements in their respective jurisdictions.
5.4 Payment Processing
Payments are processed through third-party payment service providers. The Company does not have access to or store payment card details, CVV information, or other payment or banking credentials.
5.5 Non-Refundable Fees
Unless otherwise required by applicable law or expressly stated by the Company in writing, subscription fees are non-refundable once access to the subscription has been activated.
6. NATURE OF SUBSCRIPTION AND LICENSE GRANT
6.1 Access-Based Subscription
The Directory is provided as a hosted online information and research service.
Subscription fees are consideration for access to and use of the Directory and related functionality.
6.2 Limited License Grant
Subject to these Subscription Terms, the Company grants subscribers a limited, non-exclusive, non-transferable, revocable right to access and use the Directory during the active subscription term.
6.3 Internal Business Use
Subscribers may use the Directory solely for lawful internal business purposes, including research, market intelligence, investment evaluation, business development, corporate development, strategy, and related professional activities.
6.4 No Ownership Transfer
No ownership rights, title, copyright interests, database rights, intellectual property rights, or proprietary interests in the Directory or its contents are transferred to subscribers.
6.5 No Copyright, Database or Exploitation Rights Granted
Subscription access does not grant any right to reproduce, commercialize, distribute, sublicense, publish, create derivative databases from, exploit, or otherwise use the Directory beyond the rights expressly granted under these Subscription Terms.
Subscription fees do not constitute payment for the transfer, assignment, sale, or exploitation of any copyright, database right, intellectual property right, or proprietary interest in the Directory or its contents.
7. DIRECTORY CONTENT AND INTELLECTUAL PROPERTY
7.1 Ownership of Directory Content
The Directory and all associated content, software, databases, compilations, layouts, designs, research, and materials are owned by the Company or its licensors.
7.2 Database Structure and Compilation Rights
The organization, selection, arrangement, compilation, enhancement, categorization, mapping, and presentation of information within the Directory constitute proprietary intellectual property of the Company.
7.3 Taxonomies, Classifications and Research
Any taxonomies, classifications, sector mappings, portfolio mappings, categorizations, research methodologies, analytical frameworks, and related intellectual property developed by the Company remain the exclusive property of the Company.
7.4 Trademarks and Branding
The India Portfolio, associated logos, branding, and trademarks are owned by the Company or used under appropriate rights and may not be used without permission.
8. DOWNLOADS AND AUTHORIZED USES
8.1 Downloadable Content
Where enabled by a subscription plan, subscribers may download individual fund profiles or company profiles.
8.2 Authorized Formats
Downloads may be made available in formats including PDF, CSV, JSON, or such other formats as determined by the Company.
8.3 Internal Organizational Use
Downloaded content may be retained, stored, shared, and used internally within the subscriber’s organization for legitimate business purposes.
8.4 Retention of Downloaded Content
Subscribers may retain lawfully downloaded content for internal use, subject to these Subscription Terms.
9. RESTRICTIONS ON USE
Subscribers shall not:
- redistribute, sell, sublicense, or commercially exploit Directory content;
- publish or make Directory content publicly available;
- create competing databases, competing products, or competing services using Directory content;
- scrape, crawl, harvest, extract, or collect Directory data through automated means, unless agreed in writing with the Company;
- engage in bulk extraction of Directory content;
- circumvent usage limits, technical controls, subscription restrictions, or access controls;
- remove copyright notices, attribution notices, or proprietary notices;
- use the Directory for unlawful purposes.
10. DATA SOURCES, ACCURACY AND DISCLAIMERS
10.1 Sources of Information
Directory content may be derived from publicly available information, third-party sources, proprietary research, and other materials.
10.2 No Warranty of Accuracy
The Company does not guarantee the accuracy, completeness, timeliness, reliability, or suitability of any information contained in the Directory.
10.3 Independent Verification Required
Subscribers are solely responsible for independently verifying information before relying upon it.
10.4 No Obligation to Update
The Company has no obligation to update, correct, maintain, or revise any information contained in the Directory.
11. NO INVESTMENT, LEGAL OR PROFESSIONAL ADVICE
The Directory is provided solely for informational purposes.
Nothing contained in the Directory constitutes investment advice, financial advice, legal advice, accounting advice, tax advice, professional advice, or a recommendation to engage in any transaction.
Subscribers should seek appropriate professional advice before making decisions based on Directory content.
12. PRIVACY AND DATA PROTECTION
The collection, use, storage, and processing of personal information are governed by the Company's Privacy Policy. Subscribers have certain rights in respect of their personal data, including the right to access, update, or request deletion of their data, as described in the Privacy Policy.

13. SUSPENSION AND TERMINATION
13.1 Suspension
The Company may suspend access where it reasonably believes a subscriber has violated these Subscription Terms.
13.2 Termination
The Company may terminate subscription access for material violations of these Subscription Terms.
13.3 Effect of Termination
Upon termination or expiration of a subscription, access to subscription-only content and features may cease.
14. SERVICE AVAILABILITY AND MODIFICATIONS
The Company does not guarantee uninterrupted availability of the Directory.
The Directory may be modified, updated, suspended, maintained, or discontinued at any time.
15. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Directory.
The Company's total aggregate liability arising out of or relating to the Directory shall not exceed the subscription fees actually paid by the subscriber for the subscription plan and subscription term during which the event giving rise to the claim occurred.
16. INDEMNIFICATION
Subscribers agree to indemnify and hold harmless the Company, its directors, officers, employees, affiliates, and representatives from claims, liabilities, losses, damages, costs, and expenses arising from the subscriber’s violation of these Subscription Terms or misuse of the Directory.
17. CHANGES TO THESE TERMS
The Company may update these Subscription Terms from time to time.
Continued use of the Directory following the effective date of updated Subscription Terms constitutes acceptance of the revised Subscription Terms.
18. GOVERNING LAW AND JURISDICTION
These Subscription Terms shall be governed by and construed in accordance with the laws of India.
The courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Subscription Terms or the Directory.
